2. Nature of Platform & Venue Disclaimer
2.1 Peer-to-Peer Classified Marketplace
oddmints.com functions strictly as an online venue, directory, and listing exchange. The Platform allows users to list, browse, negotiate, buy, sell, and trade collectibles, including but not limited to diecast, trading cards (TCG), action figures, miniatures, dioramas, sneakers, scale models, and hobby train sets.
2.2 No Agency or Merchant Status
oddmints.com is not a party to any transaction between buyers, sellers, or traders. We are not an auctioneer, escrow agent, broker, payment processor, insurer, or retailer. We do not take title to, possess, hold, inspect, store, package, or deliver any items listed on the Platform.
2.3 No Legal Warranties on Items or Transactions
We do not warrant, endorse, guarantee, or assume responsibility for:
- The existence, quality, condition, safety, legality, or authenticity of any item listed.
- The accuracy, completeness, or truthfulness of listings, descriptions, or user statements.
- The legal capacity, solvency, or intent of any user to complete a transaction, pay for an item, or ship a traded item.
- The delivery, fulfillment, or post-transaction performance of any user.
3. Account Eligibility, Registration, and Security
3.1 Age Requirements
You must be at least 18 years of age (or the age of legal majority in your applicable jurisdiction) to create an account, list items, or enter into binding agreements. Individuals under the age of 18 may only use the Platform under the direct oversight and account of a parent or legal guardian who agrees to be bound by these Terms.
3.2 Registration Data
You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate and complete. Providing false, misleading, or fraudulent information constitutes a material breach of this Agreement.
3.3 Account Security
You are solely responsible for maintaining the confidentiality of your account credentials (usernames and passwords) and for all activities that occur under your account. You agree to notify oddmints.com immediately of any unauthorized access or security breach. oddmints.com shall not be liable for any losses caused by unauthorized use of your account.
4. User Conduct and Prohibited Activities
You agree that you will not use the Platform for any unlawful, fraud-related, or deceptive purpose. Strictly prohibited actions include, but are not limited to:
- Prohibited & Counterfeit Goods: Listing counterfeit items, bootlegs, unauthorized replicas, stolen property, illegal drugs, weapons, adult material, or non-collectible contraband.
- Fraudulent Practices: Engaging in "shill bidding," price manipulation, wire fraud, fee avoidance, or misrepresenting item conditions or authenticity certificates (e.g., forged grading labels).
- Off-Platform Circumvention: Soliciting users off-platform specifically to evade Platform safety tools, fees, or moderation after initial contact on oddmints.com.
- Harassment & Hate Speech: Posting offensive, derogatory, defamatory, threatening, or harassing content toward other users or oddmints personnel.
- System Interference: Using bots, spiders, scrapers, automated scripts, or viruses to extract data, overload infrastructure, or disrupt Platform services.
- Multiple Accounts: Creating secondary accounts to evade bans, manipulate user ratings, or bypass listing caps.
5. Classified Listings, Freemium Features, and Fees
5.1 Free and Premium Services
oddmints.com operates on a freemium model. Basic listing creation and browsing are provided free of charge, subject to monthly quota limits set by the Platform. Premium upgrades (e.g., Bumps Placement, Store Subscriptions) are available for optional purchase.
5.2 Fees and Payments
All purchases of premium features are final and non-refundable. Prices and feature availability are subject to change at any time without notice. You are responsible for paying all applicable taxes associated with your use of paid services.
5.3 Listing Removal and Account Termination
We reserve the right, in our sole discretion and without prior notice or liability, to edit, decline, suspend, or permanently delete any listing, or terminate any account that violates this Agreement, infringes intellectual property, or poses a financial or legal risk to the community or Platform.
6. Transactions, Payments, and Shipping
6.1 Direct Contracts
Any sales, purchases, or trades agreed upon via oddmints.com are contracts executed directly and solely between the participating users.
6.2 External Payment Gateways
oddmints.com does not directly process, handle, or hold funds for classified items. Payments must be arranged independently using reputable, secure third-party payment services (e.g., PayPal, credit card processors). Users bear full responsibility for utilizing third-party services that offer buyer/seller protections.
6.3 Local Meetups & Physical Safety
If users elect to meet in person to execute a trade or purchase:
- Users acknowledge that oddmints.com exercises no control over physical meetups.
- Users agree to exercise extreme caution and choose safe, public locations (such as malls, metro stations, bus stand, public venues).
- oddmints.com expressly disclaims any liability for personal injury, property damage, loss, theft, assault, or tortious conduct occurring during in-person interactions.
7. Intellectual Property Rights
7.1 Platform Ownership
All branding, logos, design elements, layout, software code, copy, and database structures associated with oddmints.com are the exclusive intellectual property of oddmints.com and its licensors. You may not copy, reproduce, reverse engineer, or redistribute our intellectual property without express written consent.
7.2 User-Generated Content License
By posting text, images, photos, descriptions, or trademarks on oddmints.com, you grant us a non-exclusive, worldwide, royalty-free, perpetual, irrevocable, transferable, sublicensable license to use, display, reproduce, modify, adapt, publish, and distribute such content across any media channels for operating, marketing, and promoting the Platform.
You represent and warrant that you own or possess all necessary rights to upload such content and that doing so does not infringe the rights of any third party.
8. Disclaimer of Warranties
THE PLATFORM AND ALL SERVICES, INFORMATION, CONTENT, AND LISTINGS INCLUDED THEREON ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.
TO THE FULLEST EXTENT PERMISSIBLE UNDER APPLICABLE LAW, ODDMINTS.COM DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:
- IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
- WARRANTIES THAT THE PLATFORM WILL BE UNINTERRUPTED, SECURE, ERROR-FREE, OR FREE OF VIRUSES OR MALICIOUS CODE.
- WARRANTIES CONCERNING THE ACCURACY, RELIABILITY, OR QUALITY OF ANY ITEMS, TRADES, COMMUNICATIONS, OR INFORMATION OBTAINED THROUGH THE PLATFORM.
9. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL ODDMINTS.COM, ITS PARENT COMPANY, AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, SUPPLIERS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO:
- LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES;
- PERSONAL INJURY OR PROPERTY DAMAGE ARISING FROM YOUR USE OF THE PLATFORM OR IN-PERSON MEETUPS;
- ANY FRAUD, MISREPRESENTATION, OR DEFECTS IN ITEMS SOLD OR TRADED BY USERS;
- UNAUTHORIZED ACCESS TO OR USE OF OUR SERVERS OR USER ACCOUNTS;
- ANY BUGS, VIRUSES, TROJAN HORSES, OR THE LIKE TRANSMITTED TO OR THROUGH THE PLATFORM.
IN NO EVENT SHALL OUR AGGREGATE LIABILITY FOR ALL CLAIMS RELATING TO THE PLATFORM EXCEED THE GREATER OF $100.00 USD OR THE TOTAL AMOUNT OF FEES PAID BY YOU TO ODDMINTS.COM IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
10. Indemnification
You agree to defend, indemnify, and hold harmless oddmints.com, its parent, subsidiaries, affiliates, officers, directors, employees, contractors, and agents from and against any and all claims, damages, obligations, losses, liabilities, costs, debts, and expenses (including attorney's fees and court costs) arising out of or resulting from:
- Your access to or use of the Platform;
- Your violation of any provision of this Agreement;
- Your violation of any third-party right, including intellectual property, privacy, or property rights;
- Any dispute, transaction, or interaction between you and another user;
- Any content, item, or listing you submit or upload to the Platform.
11. Dispute Resolution and Class Action Waiver
11.1 Informal Resolution
Before filing any formal legal action, you agree to contact oddmints.com directly and attempt to resolve any dispute or claim informally for a period of at least thirty (30) days.
11.2 Binding Arbitration
Any dispute, controversy, or claim arising out of or relating to this Agreement, including the formation, breach, termination, or validity thereof, shall be settled by binding individual arbitration rather than in court, except that you or we may assert claims in small claims court if the claims qualify.
11.3 Class Action Waiver
YOU AND ODDMINTS.COM AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING.
12. Governing Law and Jurisdiction
This Agreement shall be governed by, construed, and enforced in accordance with the laws of the jurisdiction in which the operating entity of oddmints.com is registered, without giving effect to any principles of conflicts of law. You agree to submit to the exclusive personal jurisdiction of the courts located within that jurisdiction for any actions not subject to arbitration.
13. Severability and Enforceability
If any provision of this Agreement is found to be unlawful, void, or for any reason unenforceable, that provision shall be deemed severable from these terms and shall not affect the validity and enforceability of any remaining provisions, which shall remain in full force and effect.
14. Modifications to Agreement
Oddmints.com reserves the right to modify, amend, or update these Terms of Service at any time. We will notify users of material changes by updating the "Effective Date" at the top of this document or via platform notices. Your continued use of the Platform following any modifications constitutes your full agreement to the updated Terms.
